SIZECHEESUS TERMS OF USE October 2026 1. APPLICABILITY 1.1 These Terms govern your installation and use of SizeCheesus and its updates. 1.2 Read the full Terms before accepting them. Acceptance requires an affirmative action, such as selecting the agreement checkbox. If you do not agree, cancel installation or activation. 1.3 These Terms govern the software licence. Your purchase is also subject to the product description, checkout information and applicable seller terms supplied with your order. Binding pre-purchase representations remain effective. Installer acceptance cannot retrospectively remove a purchased entitlement. 1.4 Nothing in these Terms excludes or restricts rights or remedies that applicable law does not permit us to exclude or restrict. Those protections override every disclaimer, liability limit, termination and governing-law clause. 2. DEFINITIONS 2.1 "SizeSynth", "we", "us" and "our" mean SizeSynth, trading as SizeSynth.com. Supplier and contact details are in section 20. 2.2 "Software" means SizeCheesus, including its proprietary code, interface, artwork, branding, documentation and updates. Independently licensed components remain subject to their own licences. 2.3 "You" and "named licensee" mean the individual holding the licence and using their own account. "Account" means the SizeSynth account owning the licence. 2.4 A "licence unit" is one SizeCheesus entitlement for that named individual, allowing two registered computers. Additional units increase that individual's computer allowance; they do not add users or license another app. 2.5 "Your material" means the audio and other material you supply and your original resulting audio. "Website" means https://sizesynth.com. 3. THE SOFTWARE 3.1 SizeCheesus is a Windows x64 VST3 stereo transition-effect plug-in. It needs a compatible x64 VST3 host. The requirements and limitations in section 10 apply. 3.2 The licence covers SizeCheesus only. No other operating system, plug-in format or SizeSynth product is included unless expressly offered. 3.3 SizeCheesus does not guarantee a particular artistic result, income or commercial outcome. This does not displace an express description or promise, our contractual duties, or your mandatory rights and remedies. 4. LICENCE GRANT 4.1 Your paid licence starts on your purchase date. A valid purchase grants you a limited, non-exclusive, non-transferable lifetime right to install and use SizeCheesus under these Terms, including future SizeCheesus updates. 4.2 The licence may be revoked only on lawful and proportionate material-breach grounds, the confirmed refund or revocation grounds in section 15, or applicable law. It is not a discretionary withdrawal of lifetime purchases. 4.3 There is no recurring subscription or charge to renew the purchase. Periodic authorisation checks do not change this, and no replacement purchase may be required merely for licence validation. 4.4 Each paid unit permits two registered computers, usable simultaneously. Unlimited instances and processes on each computer share that computer's activation. This applies to new and existing accounts and licence units. 4.5 Additional SizeCheesus units add two computer slots each for the same named person; two units provide four slots. Other people need their own licence and account. Employer payment does not create a shared or team licence or give the payer a right to use the Software. 4.6 A separate complimentary grant issued by us is a new grant for its named recipient under its own scope, not a transfer of an existing licence. 5. PERMITTED USE AND YOUR AUDIO 5.1 The named licensee may use SizeCheesus for personal and commercial audio processing on activated computers within the purchased allowance. Commercial distribution of your resulting audio is permitted. 5.2 We claim no ownership of your original output and charge no additional licence fee for it. You must hold the rights and permissions required for all input material, including third-party recordings. 5.3 You may make copies necessary for authorised installation, execution and backup, use permitted settings and install authorised updates. 6. RESTRICTIONS 6.1 Subject to mandatory rights that cannot lawfully be restricted, you must not sell, gift, rent, share or transfer an existing licence or its computer slots, or share credentials or activation material. 6.2 Except as permitted by section 5, our express permission, mandatory law or an applicable third-party component licence, you must not: (a) copy, modify or create derivative proprietary software; (b) redistribute proprietary software or assets, or sell or resell proprietary copies or access; (c) make software or account access available to another person, or sublicense access; (d) exceed the computer allowance; (e) decompile, disassemble or reverse engineer the Software; or (f) bypass, tamper with or defeat activation or licence validation. 6.3 Lawful interoperability, observation, study, testing and backup rights remain intact. These restrictions are subject to mandatory law and the separate licences governing included third-party components, including the VST3 SDK MIT and Audiowide OFL notices. 7. ACCOUNTS AND SECURITY 7.1 Use the account owning the licence. Keep account and activation material secure and report suspected compromise promptly. Do not send passwords in support enquiries. 7.2 Replacing your own computer or changing your own account email does not transfer the licence to another person. If your allowance is occupied, release an existing registration before adding a replacement. For a lost or inaccessible computer, contact us for recovery help and sign in with the owning account. 7.3 Signing out, releasing a computer, closing an account and cancelling a purchase are separate actions. Uninstalling does not itself release an account registration or create or renew offline authorisation. 7.4 An unexpired offline allowance may permit a new opening before remote removal information arrives; immediate removal on an offline computer is not promised. A confirmed local release invalidates retained authorisation for new openings. Reinstallation or restoring an old cache does not grant a new allowance. 7.5 Account closure alone does not end valid lifetime licences. Account deletion does not erase unrelated app purchases, mandatory records or accrued statutory remedies. Section 14 explains records and erasure requests. 8. ACTIVATION AND INTERNET ACCESS 8.1 No account sign-in or paid licence check takes place during installation. Sign-in and entitlement checks belong to the installed plug-in. Installation, purchase, supply and activation remain separate events. 8.2 Initial sign-in and activation require internet access and the account owning the licence. Account verification, an owned entitlement and affirmative licence agreement precede activation. The app handles activation without a customer manually entering an activation key. Installation and acceptance alone do not purchase or activate the Software. 8.3 Successful validation provides signed authorisation, bound to the product and computer, for offline use for up to 30 days. Checks occur on startup, reconnection and periodically online. Renewal uses your existing purchase and computer slot. 8.4 A failed response, outage, clock change, opening or reinstall does not extend the expiry supplied in signed authorisation. Copying it does not authorise another computer. 8.5 A nonblocking offline warning appears with seven days or less remaining. The warning does not extend the allowance. 9. EXPIRY AND EXISTING SESSIONS 9.1 An instance admitted while authorisation is valid remains fully usable until closed, even after ordinary time expiry. Playback, stop/start and new renders remain available. There is no 24-hour cap or drain-only mode. 9.2 Hiding, showing or recreating the editor does not close the processing instance. Unloading, reloading or creating another instance requires a fresh admission check. Saved DAW state does not preserve admission. 9.3 A new opening after expiry requires fresh owner sign-in and valid signed renewed authorisation applicable to the product and computer. Sign-in alone, or a cancelled or failed refresh, does not unlock it. You need not buy SizeCheesus again. Successful recovery can unlock an already-open blocked instance without removing it. 9.4 Ordinary expiry is separate from the confirmed stop events in section 15. Network or sign-in errors do not themselves revoke access. 10. INSTALLATION, COMPATIBILITY AND UPDATES 10.1 You need Windows 10 or later, a compatible x64 VST3 host and a computer meeting that host's requirements. Only 32-bit floating-point audio processing is supported; 64-bit sample processing is not supported. Check the product offer for tested hosts. 10.2 The Microsoft Visual C++ x64 runtime requirement is 14.44.35207.0 or a compatible newer 14.x version. Setup verifies and supplies it where needed. The shared Microsoft runtime is retained on uninstall for other applications. 10.3 Close your DAW before installation. Setup installs the plug-in in the standard VST3 location and includes the guide, terms and uninstaller. 10.4 The installer agreement starts unchecked. Read the full Terms, then agree to continue or cancel without starting product installation. Keyboard navigation is available. Silent installation cannot provide agreement and is refused. 10.5 Your installed copy includes the Terms and a local acknowledgement of the accepted version, document fingerprint and UTC time, with no account, email, device or IP field. It is not sent online or used as proof of purchase, identity, activation or early-supply consent. Separate acknowledgements for later installations are retained on your computer after uninstall. 10.6 We provide ongoing support, updates and service continuity. Your lifetime purchase includes future SizeCheesus updates. No particular support response-time service level is stated; mandatory support, updates and remedies remain due. Updates must not silently reduce purchased entitlements. 10.7 SizeSynth may email relevant update and service information concerning SizeCheesus, including genuine software, security, compatibility, licensing and support information needed for purchased access. This does not require agreement to newsletters, paid-upgrade advertising or other-product promotions. Optional marketing permissions remain separate; declining or withdrawing them does not affect purchase or lawful access. 10.8 If SizeSynth.com ceases trading, licence requirements for existing purchases will be removed so named licence holders can continue using their software without the discontinued account, activation or validation service. This preserves purchased use; it does not promise new features or ongoing development after trading ceases. 10.9 Use reasonable backups, listening levels and checks of your host workflow. This does not exclude our contractual duties or mandatory remedies. 11. ORDERS, PAYMENT AND DELIVERY 11.1 The standard launch price is USD 19.99 per paid unit, paid once including applicable taxes. There is no launch discount or tax added on top. Additional units cost USD 19.99 each at that standard price. 11.2 Before payment, the product offer and checkout must show the app, quantity, total payable, app-only entitlement and payment and delivery conditions. Keep your order and receipt. 11.3 Your order and pre-purchase disclosures identify the seller, payment provider or reseller and how and when purchased access and software are supplied. Its applicable sales terms and mandatory rights govern the transaction; these Terms govern the app licence with SizeSynth. 11.4 Where Paddle supplies checkout, its buyer terms apply to its sale and payment service: https://www.paddle.com/legal/buyer-terms. Neither set of terms removes mandatory rights or changes the checkout price, product and quantity you agree to. 11.5 Payment or installer acceptance alone does not establish that supply has occurred. Accepting these Terms or installing or activating alone does not provide purchase-specific early-supply consent. The requirements in section 12 remain separate. 12. CANCELLATION AND REFUNDS 12.1 Mandatory cancellation, refund and faulty-content rights remain protected, including rights applying outside the UK. There is no universal all-sales-final rule. 12.2 UK consumers normally have 14 days after the day a distance contract is made to cancel downloaded digital content without giving a reason. Where law extends that period, the longer period applies. 12.3 To begin supply during that period and end the cancellation right, the required prior express consent, acknowledgement of losing the right when supply begins, and durable confirmation must be obtained separately. Accepting these Terms or installing or activating alone is not that consent. 12.4 Without those requirements, early supply must not be forced and applicable cancellation rights remain. The product offer and checkout must explain the available delivery and cancellation route before payment. 12.5 To cancel where a right applies, send a clear statement to the disclosed contact. The optional form in clause 12.11 may be used. A communication sent before the applicable deadline meets it subject to the applicable legal rules. 12.6 For valid statutory cancellation, reimbursement is made without undue delay and no later than 14 days after we are informed of your decision, with no refund fee and the same payment method unless you expressly agree otherwise. 12.7 UK digital content must meet applicable quality, fitness and description requirements. Faulty content may require repair or replacement within a reasonable time, without significant inconvenience and at no cost. Where neither is available or supplied on that basis, an appropriate price reduction or refund may be due, potentially the full price. A refund is due where we have no right to supply, as required by law. 12.8 For UK digital-content price-reduction and right-to-supply refunds, payment is due without undue delay and within 14 days beginning with the day we agree you are entitled, with no fee and the same payment method unless you expressly agree otherwise. 12.9 Outside mandatory rights, discretionary cancellation or goodwill refunds are considered only in exceptional circumstances. Contact us with your order and problem. Discretion cannot restrict statutory remedies. 12.10 Section 15 explains the effect of a confirmed full refund removing the last valid SizeCheesus licence. Other genuinely valid units remain protected. 12.11 Optional cancellation form. Use this only if you wish to cancel and a cancellation right applies. You may instead send any other clear statement. To: SizeSynth.com, Contact@sizesynth.com I give notice that I cancel my contract for the supply of SizeCheesus. Order date: Purchase reference: Customer name: Customer address: Account email: Date: Signature, only if submitted on paper: 13. INTELLECTUAL PROPERTY 13.1 SizeCheesus is licensed, not sold. SizeSynth and its licensors retain all rights, title and interest in its proprietary code, interface, branding, artwork, documentation and updates. The licence grants no ownership of them. All rights not expressly granted are reserved. 13.2 Your rights in your material and original output remain as set out in section 5. Independently licensed components and their notices remain subject to their own terms, including the VST3 SDK MIT and Audiowide OFL licences. 14. PRIVACY AND RECORDS 14.1 Our shared Privacy Policy is https://sizesynth.com/privacy/. It explains the personal information used for accounts, purchases, licensing, support and service communications, including recipients, retention, rights and complaints. 14.2 Necessary identity, purchase and licence linkage, and substantiated enforcement, dispute and legal-duty records may survive account closure or licence revocation, subject to justified purpose, necessity and applicable rights. 14.3 Minimum linkage needed for a valid lifetime entitlement is preserved. Erasure is a separate request, subject to applicable lawful exceptions. The shared policy sets the account and licence, purchase, breach and appeal, and review periods; it is not blanket indefinite retention. 14.4 Passwords, token secrets and unrelated audio are not breach evidence. Privacy acknowledgement is not marketing permission or a substitute for required licence or early-supply consent. Contact Contact@sizesynth.com for privacy enquiries, complaints or rights requests. 15. SUSPENSION, REVOCATION AND TERMINATION 15.1 We may terminate an affected licence for material breach where lawful and proportionate. We will identify the affected licence and reasons and provide notice and a reasonable opportunity to remedy a remediable breach where required by law and the circumstances. Breach may also result in lawful app restrictions or account closure or deletion. Mandatory rights and applicable rights to contest a decision remain. Contact us about a disputed restriction. 15.2 If an instance receives trustworthy, current confirmation that a full refund has removed your last valid SizeCheesus licence, affected licensed processing stops immediately and new licensed openings are denied. A partial, pending or rejected refund, another app's refund, or a refund leaving other valid SizeCheesus units is not that event. 15.3 If a licence is revoked for prohibited sharing or resale, affected open instances stop licensed processing when trustworthy confirmation arrives. New licensed openings under that revoked licence are denied. 15.4 Offline notice may be delayed. Network, authentication, HTTP or clock errors, malformed or replayed proof, disputes and account deletion are not confirmation of either specified stop event. Ordinary expiry follows section 9. Other refund or capacity, device-release, dispute or deletion cases do not constitute either specified confirmed stop event. 15.5 After lawful termination, you must stop using the affected proprietary app and remove proprietary copies you are no longer authorised to keep. This does not require deletion of your audio, projects, independently licensed third-party material or records or copies you may lawfully retain for rights, remedies or evidence. Unrelated purchases and accrued rights remain intact. 16. APPEALS 16.1 If you believe an account or licence restriction is wrong, email Contact@sizesynth.com with your account email, affected app or decision reference and explanation. Do not send passwords or payment-card details. 16.2 We will conduct a human review of your explanation and relevant evidence and send the outcome and reasons within 14 calendar days of receiving your appeal, including correction where appropriate. The explanation, relevant evidence, decision and outcome are retained as set out in the shared Privacy Policy. 16.3 An appeal does not automatically restore access or create a discretionary refund. It does not delay or remove a correction, refund or other remedy required by law, or prevent statutory complaints, data-rights requests or lawful dispute routes. Mandatory remedies and seller or reseller-specific information supplied with your order remain applicable. 17. WARRANTIES AND RESPONSIBILITY 17.1 Express descriptions and promises, purchased entitlements, and mandatory quality, fitness, description, repair, replacement, price-reduction, refund, cancellation and device or digital-content damage obligations and remedies remain effective. 17.2 Subject to those protections, SizeCheesus is provided AS IS and AS AVAILABLE only to the extent lawful. We give no additional warranty of uninterrupted operation, freedom from every error or compatibility with every third-party system. 17.3 You are responsible for lawful use, suitable monitoring levels, reasonable backups, compliance with system requirements and permissions for input material. We remain responsible for our contractual duties. Clause 3.3 addresses artistic and commercial outcomes. 18. LIABILITY 18.1 Nothing excludes or restricts liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or liability, consumer rights and remedies that cannot lawfully be excluded or restricted. 18.2 For consumer purchases, our liability is limited to foreseeable loss or damage caused by our breach or failure to exercise reasonable care and skill, to the extent permitted by applicable law. We are not responsible for loss caused solely by your unauthorised use, tampering, misuse, failure to meet stated system requirements or failure to obtain third-party permissions. 18.3 Subject to mandatory rights and non-excludable liability, and only to the extent lawful and fair in the circumstances, our total liability arising from or relating to the affected SizeCheesus licence entitlement giving rise to the claim is limited to the amount actually paid for that entitlement. The cap applies to that affected entitlement, not unrelated app purchases. 18.4 On the same basis, we exclude indirect or consequential loss and loss of business profits, revenue, opportunity or goodwill. A consumer's recoverable foreseeable loss, mandatory remedy or other non-excludable liability is not excluded merely by describing it as consequential. 19. CHANGES AND EXISTING RIGHTS 19.1 We may update the Software and propose changes to these Terms. Updates and amendments must respect accrued rights, purchased computer capacity and valid lifetime entitlements under the applicable accepted contract. 19.2 Changed Terms must be supplied before new agreement, with clear notice and any legally required consent. Ordinary launch, licence refresh, silence or a version-number change is not acceptance of different Terms. 19.3 Earlier accepted Terms and genuine records remain unchanged. Keep the Terms accepted with your order. No change authorises an arbitrary withdrawal of a purchased lifetime entitlement. 19.4 An unenforceable clause does not remove mandatory rights. Remaining clauses operate only insofar as lawful. 20. GOVERNING LAW AND CONTACT 20.1 These Terms are governed by the law of England and Wales without depriving consumers of mandatory protections or court access available under applicable law. Consumers retain court and dispute routes available under mandatory jurisdiction rules, including protections where they habitually live. 20.2 For business users, the courts of England and Wales have jurisdiction to the extent lawful. 20.3 SizeCheesus is supplied and licensed by SizeSynth.com. SizeSynth.com is operated by SizeSynth, trading as SizeSynth.com. 20.4 Website: https://sizesynth.com. Customer contact is by email. Support, business enquiries, licensing, cancellation and refunds, complaints and privacy requests: Contact@sizesynth.com. Do not send passwords or payment-card details. 20.5 The seller and any payment provider or reseller role applicable to your purchase must be identified at checkout and in your receipt. Section 11 explains the distinction between the sale and payment terms and this software licence.
